These Terms of Service ("Terms") govern your access to and use of the websites, dashboards, and services (collectively, the "Services") provided by Local SEO Co ("Local SEO Co," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and able to enter into a binding contract to use the Services. When you create an account, you agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity that occurs under your account. Notify us immediately of any unauthorized use at david@local-seo.co.
Local SEO Co provides local search engine optimization, web design, citation management, reporting, and related services. The specific services you receive are described in the order form, statement of work, or proposal you sign with us (the "Order"). In the event of a conflict between these Terms and an Order, the Order controls.
SEO is influenced by factors outside our control, including third-party search algorithms. We do not guarantee any specific ranking, traffic, lead, or revenue result.
You agree to pay all fees set out in your Order. Unless otherwise stated, fees are billed monthly in advance and are non-refundable. Late payments may incur interest at the lesser of 1.5% per month or the maximum amount permitted by law. We may suspend or terminate Services for non-payment after written notice.

The Services, including all software, text, graphics, reports, and trademarks (other than your content), are owned by Local SEO Co or its licensors and are protected by intellectual-property laws. Subject to these Terms and full payment of all fees, we grant you a non-exclusive, non-transferable, revocable license to use the Services and deliverables for your internal business purposes.
You retain ownership of the content and materials you provide. You grant us a license to use those materials to provide the Services and to feature your business as a case study or reference unless you opt out in writing.
Each party agrees to protect the other's non-public information disclosed in connection with the Services with the same care it uses to protect its own confidential information, and at minimum with reasonable care. Confidential information does not include information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
The Services may integrate with third-party platforms (Google, Supabase, Stripe, GoHighLevel, DataForSEO, and others). Your use of those platforms is governed by their own terms and privacy policies, and we are not responsible for their performance or actions.
These Terms remain in effect while you use the Services. Either party may terminate an Order in accordance with the notice period stated in the Order. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or engage in unlawful conduct. Upon termination, your right to use the Services ends; fees already paid are non-refundable except as required by law.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR SEO OUTCOME WILL BE ACHIEVED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Local SEO Co and its officers, employees, and affiliates from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services in violation of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Kendall County, Texas, and you consent to their jurisdiction. The parties waive any right to a jury trial.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated by posting a prominent notice on our website or, where appropriate, by email. Your continued use of the Services after a change takes effect constitutes acceptance.
These Terms, together with any Order you sign with us, are the entire agreement between you and Local SEO Co regarding the Services. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
